Stock News 2012: Puregold finalizes S&R deal

(Photo credit: Wikipedia)Puregold Price Club Inc. has completed the acquisition of 100 percent of S&R Membership Shopping club through a P16.5-billion share swap, effectively making the upscale retailer a wholly-owned Puregold subsidiary.

In a disclosure to the Philippine Stock Exchange, Puregold said Kareila Management Inc., the operator of S&R, has already issued the stock certificates in the name of Puregold.

Under the deal, Puregold acquired 1.7 million shares of Kareilla in exchange for 766.4 million shares of Puregold. Both firms are controlled by Chinese-Filipino businessman Lucio Co.

The Co family now owns 77 percent of Puregold’s outstanding shares.

The acquisition has allowed Co to consolidate his retailing businesses into a publicly-listed vehicle targeting all market segments and further strengthened the group’s leading position in the industry.

Puregold caters to the lower-income segment with a market share of 16 percent. On the other hand, S&R, which caters to the middle and upper class consumers, has a market share of 3.3 percent.

S&R has a total membership base of over 214,700 across the country. It operates six stores located in Bonifacio Global City, Congressional Ave. in Quezon City; Alabang, Muntinlupa; Aseana business park in Baclaran; San Fernando in Pampanga; and Mandaue City in Cebu.

Established in 2000 in partnership with Price Smart of the US, S&R was eventually acquired by the Co family in 2006.

To capitalize on the growing consumer needs of the mass market, Puregold recently acquired the Parco supermarket chain in a deal valued at around P760 million. The deal involved the purchse of 100 percent of the Gant Group of Companies, the holding company of the Ong family for the six subsidiaries operating the 19 branches of Parco supermarkets.

Of Parco’s total store network, 12 are located in Metro Manila, three in Bulacan and four in Rizal.

The purchase was in line with the Co family’s goal to double the number of its stores by 2015 as it expands into the untapped markets Metro Manila as well as in Visayas and Mindanao.

Puregold, which is now the country’s second biggest retailer next to the SM Group, intends to open 25 stores in 2012 and 2013.

Listed supermarket chain operator Puregold Price Club Inc. has added Parco Supermarket to its growing retail portfolio.

In a disclosure to be Philippine Stock Exchange, Puregold said the acquisition will further expand its foothold in the C and D market segment.

“Puregold Price Club Inc., through the resolution issued by its Executive Committee on May 25, acquired 519,111 shares or the whole outstanding capital stock of Gant Group of Companies Inc.,” the company said.

Gant Group is the owner and operator of 19 branches of Parco Supermarket, which includes Pasig, Quezon City, Caloocan, Taytay in Rizal province and Meycauayan in Bulacan.

The shares were purchased from the Ong family, particularly from Dolores Ong, Patrick Richard Ong, Katrina Cindy Ong, Genevieve Mae Ong and Margaret Brigitte Ong. Puregold did not disclose the purchase price.

“Upon takeover, the stores will use the Parco brand,” Aida B. de Guzman, vice-president for marketing and business development of Puregold, said in a text message.

“With the Parco acquisition, our market coverage will expand, as Parco was able to establish loyal customer base of both C and D customers and resellers in the areas where they operate over the 29 years that they have been operating,” De Guzman said.

In April, Puregold completed its acquisition of upscale S&R Membership Shopping Club through a P16.5-billion share swap.

Stock News 2012: Puregold profit rises 24.5% in Q1

Puregold Price Club Inc. grew its net income by 24.5 percent in the first quarter this year to P469 million as it registered higher sales.

In a financial report submitted to regulators yesterday, Puregold said net sales rose 30.3 percent to P10.74 billion, primarily due to higher turnover as a result of new store openings in the last three quarters of 2011.

Puregold had a total branch network of 101 as of March 31, 2012, comprising 62 hypermarkets, 28 supermarkets and 11 discounters. These new stores accounted for 17.7 percent of total net sales for the period under review.

Operating income amounted to P633 million, up 18.6 percent from P534 million. Other income jumped 27.9 percent to P288 million.

On the other hand, operating expenses shot up 38 percent to P1.4 billion from P1.01 billion, largely due to the company’s expansion and renovation of old stores.

Puregold is expected to sustain its upward trajectory for the rest of the year, especially with the acquisition of the upscale S&R Membership Shopping Club through a P16.5-billion share swap transaction.

The move was intended to consolidate Chinese-Filipino businessman Lucio Co.’s retailing businesses under one umbrella.

Under the deal, the Co family will own approximately 77 percent of Puregold’s outstanding shares.

The planned consolidation will expand Puregold’s current market base, enhance shareholder value, and achieve economies of scale.
